Exchange Commission (SEC) has directed an immediate suspension of all marketing and promotional activities linked to a purported Initial Public Offering (IPO) of Dangote Petroleum Refinery &amp; Petrochemicals FZE, stating that no such application has been submitted to or approved by the regulator.<\/p>\n<p style=\"text-align: justify;\">In a public notice issued on Tuesday, the Commission said it had observed advertisements, flyers, digital banners, and targeted emails circulating on social media and investment platforms, all promoting an alleged public offering by the refinery.<\/p>\n<p style=\"text-align: justify;\">The SEC expressed concern that some Registered Capital Market Operators (CMOs) were involved in what it described as an \u201cunwholesome and manipulative exercise\u201d involving the solicitation of advance subscriptions from investors for an offer that has not been filed with the regulator.<\/p>\n<p style=\"text-align: justify;\">According to the Commission,\u00a0<strong>\u201cNo application for the registration of an IPO or public offer of shares of the Refinery has been filed with or approved by the Commission.\u201d<\/strong><\/p>\n<p style=\"text-align: justify;\">It warned that the ongoing activities could mislead investors and undermine confidence in the Nigerian capital market.<\/p>\n<p style=\"text-align: justify;\">The SEC stated that\u00a0<strong>\u201cThe ongoing pre-marketing activities are capable of misleading investors, distorting market expectations, creating information asymmetry and generally undermining the integrity of the capital market.\u201d<\/strong><\/p>\n<p style=\"text-align: justify;\">The regulator further said that invitations asking investors to create accounts, pre-fund transactions, or secure guaranteed allocations amounted to market manipulation and a breach of the Investments and Securities Act (ISA), 2025.<\/p>\n<p style=\"text-align: justify;\">Consequently, the Commission directed all Registered Capital Market Operators, particularly stockbrokers and digital investment platforms, to immediately stop publishing or circulating any promotional materials related to the alleged acquisition or allocation of shares in the refinery.<\/p>\n<p style=\"text-align: justify;\">It also ordered operators to remove all unauthorised content from websites, social media pages, and messaging groups within 24 hours of the notice.<\/p>\n<p style=\"text-align: justify;\">In addition, the SEC instructed operators to halt the acceptance of deposits, investor commitments, account openings, or expressions of interest tied to the purported offering, and to refund all funds already collected within 24 hours.<\/p>\n<p style=\"text-align: justify;\">The Commission warned that failure to comply would attract sanctions under the ISA 2025 and SEC Rules and Regulations.<\/p>\n<p style=\"text-align: justify;\">Advising the investing public to exercise caution, the regulator urged Nigerians to rely only on official statements issued directly by the Commission.<\/p>\n<p style=\"text-align: justify;\">It stated that\u00a0<strong>\u201cAll such high-pressure marketing tactics, or transfer of funds to any operator for &#8216;pre-IPO&#8217; placement should be ignored as they did not receive the Commission&#8217;s approval.\u201d<\/strong><\/p>\n<p style=\"text-align: justify;\">The SEC assured investors that if and when a formal application for a public offering is received and approved, an official prospectus would be published in line with the provisions of the Investments and Securities Act.<\/p>\n<p style=\"text-align: justify;\">The development comes amid rising speculation about a possible public listing of Dangote Petroleum Refinery, Africa\u2019s largest refinery with a capacity of 650,000 barrels per day.<\/p>\n<p style=\"text-align: justify;\">Owned by industrialist Aliko Dangote, the refinery began operations in Lagos and has quickly become a major player in Nigeria\u2019s downstream petroleum sector, supplying refined products locally and for export.<\/p>\n<p style=\"text-align: justify;\">Interest in a potential IPO has grown since executives of the Dangote Group indicated that some of its major assets, including the refinery, may eventually be listed on the Nigerian
