{"id":43535,"date":"2015-11-09T12:31:02","date_gmt":"2015-11-09T11:31:02","guid":{"rendered":"http:\/\/pointblanknews.com\/pbn\/?p=43535"},"modified":"2015-11-09T13:10:30","modified_gmt":"2015-11-09T12:10:30","slug":"stanbicibtc-financial-report-high-court-stops-frcn-from-sanctioning-kpmg","status":"publish","type":"post","link":"https:\/\/pointblanknews.com\/pbn\/news\/stanbicibtc-financial-report-high-court-stops-frcn-from-sanctioning-kpmg\/","title":{"rendered":"StanbicIBTC Financial Report: High Court Stops FRCN From Sanctioning KPMG"},"content":{"rendered":"<p>Justice Ibrahim Buba of the Federal High Court in Lagos has restrained the<br \/>\nFinancial Reporting Council of Nigeria (FRCN) and its executive secretary<br \/>\nand CEO, Mr. Jim Osayande Obazee, from taking any action, sanction or<br \/>\nmeasure against KPMG Professional Services and Mr. Ayodele Othihiwa, a<br \/>\nPartner in the firm, pending the hearing and determination of the suit<br \/>\nfiled by the applicants.<\/p>\n<p>The interim order of the court granted <span class=\"aBn\" tabindex=\"0\" data-term=\"goog_464671440\"><span class=\"aQJ\">Friday<\/span><\/span>\u00a0 was sequel to an<br \/>\napplication argued before the court by Barrister Chuka Ikwuazo from the<br \/>\nlaw firm of Aluko and Oyebode, urging the court to restrain the<br \/>\nrespondents from taking any sanction and also order an accelerated hearing<br \/>\nof the suit, now fixed for <span class=\"aBn\" tabindex=\"0\" data-term=\"goog_464671441\"><span class=\"aQJ\">12 November<\/span><\/span>, when the respondents must have<br \/>\nbeen served all the \u2018originating processes\u2019 in the matter.<\/p>\n<p>The interim order was the second granted by the court against the FRC,<br \/>\nwithin 48 hours. On 4th of November, Justice Buba also ordered the FRC to<br \/>\nmaintain the status quo in a related case filed by StanbicIBTC. The case<br \/>\nis now pending before the court.<\/p>\n<p>KPMG and its Partner had filed an application for the enforcement of their<br \/>\nfundamental rights following the FRC letter of 26 October 2015, which it<br \/>\ncalled a final notice and its \u2018regulatory decision\u2019 conveyed in another<br \/>\nletter of 30 October, on the financial statements of StanbicIBTC Holdings<br \/>\nPlc for 2013 and 2014.<\/p>\n<p>The FRC in one of its regulatory decisions had suspended Othihiwa\u00a0 \u201cuntil<br \/>\nthe investigation as to the extent of the negligence of KPMG Professional<br \/>\nServices is ascertained\u201d.<\/p>\n<p>KPMG and Othihiwa contend that the FRC decision was published and issued<br \/>\nwithout informing or notifying them of the nature of the allegations made<br \/>\nagainst them and inviting them to respond to the allegations.<\/p>\n<p>FRC decision, KPMG and Othihiwa claimed not only violated their<br \/>\nconstitutional right to fair hearing but also Section 62(2) of the<br \/>\nFinancial Reporting Act, which spells out the procedure to be adopted by<br \/>\nthe FRC in investigating a professional body for any\u00a0 \u2018complaint or<br \/>\ndishonest practice, negligence, professional Misconduct or malpractice\u2019.<\/p>\n<p>The section states that FRC shall \u201c notify the professional whose conduct,<br \/>\nact or omission is under investigation of the nature of the complaint and<br \/>\nit shall summon or hear the professional\u201d.<\/p>\n<p>The applicants contended that FRC and Mr. Obazee, did not only breach this<br \/>\nsection, but they also breached Section 15(2) b of the FRC Act, which<br \/>\nstates that a Technical and Oversight Committee shall review \u201c sanctions<br \/>\nto be meted out to any professional accountant, professional or public<br \/>\ninterest entity\u201d.<\/p>\n<p>KPMG and Othihiwa further claimed that even where the Technical and<br \/>\nOversight Committee had ratified the decision of the FRC, the FRC had<br \/>\nfailed to exhaust the provisions of its own law, by allowing them to<br \/>\nexercise their right of appeal to the Technical Committee and by<br \/>\nsubjecting its decision to the approval of the FRC board.<\/p>\n<p>The FRC at the moment has no board. It was dissolved on 16 July 2015.<\/p>\n<p>\u201cIn effect the respondents purported to make and they seek to enforce the<br \/>\naforesaid \u2018regulatory decision\u2019 at a time when the statutory means of<br \/>\nrecourse stipulated under the Act does not exist\u201d, KPMG and Othihiwa<br \/>\nstated in their application.<\/p>\n<p>KPMG and Othihiwa in asking the court for accelerated hearing averred that<br \/>\nthey have been greatly affected and have the potential of suffering<br \/>\ngreater loss of business opportunities and turnover of business, as a<br \/>\nresult of the action of the FRC, which they consider unfair, ultra vires<br \/>\nand a breach of their fundamental rights to a fair hearing<\/p>\n<p>Justice Buba has adjourned till <span class=\"aBn\" tabindex=\"0\" data-term=\"goog_464671442\"><span class=\"aQJ\">12th November, 2015<\/span><\/span>.for the hearing of the<br \/>\nmotion for interlocutory injunction.<\/p>\n<p>The court case marked the second reaction of KPMG Professional Services to<br \/>\nthe decisions of Financial Reporting Council.<\/p>\n<p>Last week, the chief operating officer, Mr. Yomi Sanni faulted the<br \/>\ndecisions.
