Stallion Group, the large conglomerate with a presence in several
\nAfrican countries and the United Arab Emirates, is facing the greatest
\nchallenge in its corporate existence as several Nigerian banks seek to
\nliquidate its assets over mounting unpaid debts.<\/p>\n

Founded by the colourful and controversial businessman Sunil Vaswani,
\nthe Stallion Group, which is involved in a range of diverse businesses
\nspanning food processing, sales of automobiles and manufacturing, has
\nseen its stock go down since Nigeria\u2019s president Muhammadu Buhari
\nassumed power in mid-2015.<\/p>\n

Prior to this, the fifty-seven year old Mr Vaswani and his brothers
\nHaresh and Mahesh who also are part of the group\u2019s executive
\nmanagement, had developed a close friendship with the past
\nadministration of Goodluck Jonathan, an academic from the Southern part
\nof the country who ensured that Stallion reaped the benefits of its
\npromoters\u2019 fealty through widely-criticized concessions.<\/p>\n

Mr Buhari\u2019s ascendancy to the presidency, fueled by a mantra of change
\nhas led to greater scrutiny of the labyrinthine dealings of the Vaswanis
\nwho have been under countless investigations by several law enforcement
\nauthorities in Nigeria.<\/p>\n

In addition to well-publicized investigations by the Economic and
\nFinancial Crimes Commission (EFCC), the Stallion Group has had serious
\nissues with state and federal tax agencies, the Nigerian Customs Service
\nand the police against which Stallion\u2019s directors sought a protective
\nfundamental human rights order in November 2019.<\/p>\n

In 2018, the EFCC filed charges against Stallion Motors Limited and its
\nchief executive Hapreet Singh for allegedly giving a N1.275 billion to
\nthe People\u2019s Democratic Party to finance the 2015 elections and the
\ninexorable pressure from the anti-graft agency and other quangos has
\ndisrupted the group\u2019s business leading to a rapid downsizing of its
\nworkforce.<\/p>\n

Industry watchers say that Stallion\u2019s closeness to senior officials of
\nthe People\u2019s Democratic Party, including Sambo Dasuki, the former
\nNational Security Adviser, who was incarcerated for several years by the
\nBuhari administration after being accused of diverting billions meant
\nfor security to partisan causes, has effectively placed Stallion and the
\nVaswanis on a government blacklist cutting it off from lucrative
\ncontracts that had been a cash cow for the group.<\/p>\n

Sensing Stallion\u2019s precarious financial situation, several Nigerian
\nbanks have also gone for the firm\u2019s jugular. In 2019, a Federal High
\nCourt in Lagos granted an order protecting Gbenga Akinde-Peters, a
\nReceiver\/Manager appointed by Guaranty Trust Bank Plc to take over all
\nfixed and floating assets of Stallion Nigeria Limited company in
\nreceivership,the company owned by the Vaswani brothers, wherever the
\nassets are found, particularly its registered Head office at 270A, Ajose
\nAdeogun Street Victoria Island Lagos.<\/p>\n

The order of the court was as a result of the company\u2019s inability to
\npay a debt of N11,401,860,857.06 and $1,969,801.07. The defendants in
\nthe suit were THP Limited, The Honda Place Limited, Connoisseur
\nInvestment Limited, Premium Seafoods Limited and Onward Fisheries
\nNigeria Limited who were alleged to have guaranteed the loan.<\/p>\n

In an affidavit sworn to by a litigation officer, Mr Segun
\nOmoshola,filed and argued before the court by a Lagos lawyer, Temilolu
\nAdamolekun, the deponent alleged that, Stallion Nigerian Limited
\ncompany, in receivership, was availed several loan facilities totaling
\nthe sum of N30.5Billion to augment its working capital needs as well as
\nthose of its related companies.<\/p>\n

The loan facilities were drawn down and used by the Stallion Nigeria
\nLimited Company in accordance with the offer letter.
\nThe loan was secured by the personal guarantee of Mr Sunil Vaswani who
\nis the alter ego Stallion Nigeria Limited, five choice properties
\nlocated in Lagos,Port-Harcourt and Abuja.<\/p>\n

However, when the facilities were matured,Stallion Nigeria Limited and
\nthe defendants\u2019 companies who guaranteed the loan failed to liquidate
\nthe facilities which have continued to accrue interest.<\/p>\n

GTBank stated that as at March 31,2018, Stallion Nigeria Limited\u2019s
\nindebtedness to the bank stood at N11,401,860,857.06,and $1,969,801.07.
\nThe bank said it had written several demand letters, made entreaties to
\nStallion Nigeria Limited and the defendants companies to meet their
\nobligations to the bank but Stallion did not provide any meaningful
\nresponse.<\/p>\n

Justice Saliu Saidu, after hearing Temilolu Adamolekun and four other
\nsenior lawyers, while restraining the Directors of the defendants
\ncompanies from obstructing the Receiver\/Manager from performing his
\nduties,also issued an order Protecting Mr Akinde Peters appointed by the
\nbank to take over all fixed and floating assets of Stallion Nigeria
\nLimited.<\/p>\n

In June 2020, another top-tier Nigerian bank sued Sunil Vaswani over
\ndebts accumulated by Stallion Group, based on the personal guarantee he
\nprovided for the loans. The bank sought a judgement sum of N23, 388,
\n188, 765.49 from Mr Vaswani being the outstanding debts owned by the
\nStallion Group as at May 12, 2020. The bank also asked the court to
\ncompel Mr Vaswani and the Stallion Group to pay the accumulated interest
\nat a rate determined by the court.<\/p>\n

The bank asked the court to transfer Mr Vaswani\u2019s assets to it if the
\ndebts are not paid. The assets which are located across several
\njurisdictions including Nigeria, the United Kingdom and the United Arab
\nEmirates, include: L9, Lailak Street, Emirates Hills, Emirates Living,
\n40 Avenue Road, NWH 8 6HS.<\/p>\n

The bank also asked the court to authorize it to seize all stocks and
\nequity holdings maintained by Mr Vaswani around the world including cash
\ndeposits, bonds wholly or jointly-held, investments in financial
\nschemes, all forms of negotiable instruments in commercial banks,
\ndiscount houses, mortgage banks, merchant banks and other financial
\ninstitutions located within the Federal Republic of Nigeria, the United
\nStates of America, the United Arab Emirates and other countries and
\nterritories.<\/p>\n

The bank also applied for an order to seize Mr Vaswani\u2019s funds in
\nseveral banks including but not limited to accounts in Rak Bank and
\nEmirates NBD Bank in the United Arab Emirates, Barclays Bank Canary
\nWharf London, HSBC Bank of 8, Canada Square, Canary Wharf London and
\nStandard Chartered Bank, Basinghall Avenue, London.<\/p><\/div>\n<\/div>\n
