NNPCL Wins Appeal, Escapes ₦5 Billion Damages Payout

The Nigerian National Petroleum Company (NNPC) Limited has secured a significant legal victory after the Court of Appeal in Abuja, on August 8, 2025, overturned an earlier judgment against it.
The appellate court nullified the April 2023 decision of the Federal High Court, which had invalidated the removal of Senator Ifeanyi Araraume as Non-Executive Chairman of the NNPC Board and ordered the company to pay him ₦5 billion in damages.
In a statement issued on Wednesday, NNPC Ltd described the ruling as a major relief, noting that it shields the company from a hefty financial burden and averts a legal complication that could have rendered all Board decisions since 2021 void.
The Court of Appeal held that the earlier judgment was fundamentally flawed, emphasizing that the claim was statute-barred.
According to the company, the landmark verdict not only secures the continuity of its governance structure but also sets a crucial precedent in Nigeria’s corporate law. It reaffirmed the validity of Board resolutions vital to sustaining investor confidence and advancing policy execution in the nation’s oil and gas industry.
